Terms of Service

1. Introduction

Vale Park ("Vale", "we", "us") is a technology provider that offers parking booking software and IoT gate access technology. Vale does not own, operate, or control any parking facility or physical space. By accessing or using our services, you agree to be bound by these Terms of Service and our Privacy Policy.

2. Service Description

Vale provides a technology platform that:

• Enables businesses to list and manage parking spots and bookings
• Provides an embeddable booking widget for client websites
• Processes payments via Stripe
• Provides IoT gate access technology for remote entry
• Generates invoices and reports

3. Platform Role and Limitations

Vale is a technology platform only. Vale does NOT:

• Own, lease, operate, or control any parking facility or physical space
• Inspect, maintain, secure, or insure any parking space
• Employ or supervise any personnel at any parking location
• Provide valet, attendant, or vehicle-handling services
• Guarantee the condition, safety, or suitability of any parking space
• Assume custody, care, or control of any vehicle at any time

4. Venue Operator Responsibilities

Businesses that list parking spaces on Vale ("Venue Operators") are solely responsible for:

• The physical condition, maintenance, and safety of their parking spaces
• Security measures including lighting, surveillance, and access control
• Maintaining adequate insurance coverage for their premises
• Compliance with all applicable laws, regulations, and permits
• Ensuring accurate listing information
• Addressing any claims related to vehicle damage, theft, or personal injury on their premises

5. User Accounts

Accounts are created by Client administrators. You are responsible for maintaining the confidentiality of your login credentials. You must notify your administrator immediately of any unauthorized use.

6. Payments and Billing

Spot purchases and bookings are charged at the rates displayed at the time of purchase. All payments are processed by Stripe. Prices are in EUR and include applicable taxes unless stated otherwise. Refund policies are determined per transaction and communicated at the point of sale.

7. Acceptable Use

You agree not to:

• Use the platform for unlawful purposes
• Attempt to gain unauthorized access to any part of the service
• Interfere with the platform's operation or other users' access
• Reverse engineer or scrape the platform
• Submit false or misleading booking information

8. Intellectual Property

The platform, its design, code, and content are the intellectual property of Vale Park. You are granted a limited, non-exclusive license to use the platform for its intended purpose.

9. IoT Gate Access Technology

Vale provides IoT-based gate access technology as a convenience feature for entry and exit, not as a security system. The gate access system may be affected by internet connectivity, power supply, or device malfunctions. The Venue Operator is responsible for the physical gate infrastructure, maintaining internet connectivity, and providing alternative access methods in case of technology failure. Vale does not guarantee that the gate system will prevent unauthorized access or security breaches.

10. Limitation of Liability

Vale is a technology platform provider only. Vale does not own, operate, inspect, or control any parking space. All liability for the physical parking space, its condition, safety, and security rests with the Venue Operator. Vale is not liable for vehicle damage, theft, personal injury, property loss, or any other claims arising from the condition of a parking space or the actions of a Venue Operator. Our total liability is limited to the fees paid in the 12 months preceding the claim, or EUR 100, whichever is greater. This does not affect your statutory rights under Dutch or EU law.

11. Data Protection

We process personal data in accordance with our Privacy Policy and GDPR. For B2B clients, our Data Processing Agreement governs how we process data on your behalf. Contact privacy@valepark.org for a copy.

12. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination, we will return or delete your data in accordance with our Data Processing Agreement.

13. Governing Law

These terms are governed by the laws of the Netherlands. Disputes shall be submitted to the competent courts of Utrecht, the Netherlands. EU consumer protection laws apply where applicable.

14. Changes

We may update these terms with 30 days' notice. Material changes will be communicated via email.
